Promotion Services provided by Procudex.store.com in accordance with the terms herein shall include the following: 1) Top Ranking and Sponsored Listing; 2) services that benefit, promote, or support, whether directly or indirectly, the User’s business, the User’s brand, product, store, logo, trademark, service mark, User Content, and/or derivative work based on the User Content on software, applications, tools, browser extensions, and/or platforms operated and/or controlled by Procudex.store.com.
The Company reserves the right, in its sole discretion, to determine whether or not to make the Promotion Services or any portion thereof available to you.
Copyrights
All content, including text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, that is included in or made available through any The Company Service is the property of The Company or its content suppliers and is protected by United States and international copyright laws. Take any action that may undermine the feedback or rating systems.
Transfer you’re Procudex.store account (including feedback) and user id to another party without our consent.
Distribute or post spam, unsolicited or bulk electronic communications, chain letters, or pyramid schemes.
Distribute viruses or any other technologies that may harm The Company or the interests or property of users.
Use any robot, spider, scraper, data mining tools, data gathering and extraction tools, or other automated means to access our services for any purpose, except with the prior express permission of The Company.
Interfere with the functioning of our services, such as by imposing an unreasonable or disproportionately large load on our infrastructure.
Export or re-export any The Company website or tool, except in compliance with the export control laws and rules and policies of any relevant jurisdictions.
Infringe the copyright, trademark, patent, publicity, moral, database, and/or other intellectual property rights (collectively, “intellectual property rights”) that belong to or are licensed to The Company. If we believe you are abusing The Procudex.store and/or our services in any way, we may, in our sole discretion and without limiting other remedies, limit, suspend, or terminate your user account(s) and access to our services, delay or remove hosted content, remove any special status associated with your account(s), remove, not display, and/or demote listings, reduce or eliminate any discounts, and take technical and/or legal steps to prevent you from using our services.
If we believe you are violating our policies prohibiting offers to buy or sell outside of The Procudex.store, you may be subject to a range of actions, including limits on your buying and selling privileges, restrictions on listings and account features, suspension of your account, application of fees, and recovery of expenses for policy monitoring and enforcement. If you are a seller and you offer or reference your contact information or ask a buyer for their contact information in the context of buying or selling outside of The Procudex.store, you may be liable to pay a final value fee applicable to that item, even if the item does not sell.
We may cancel unconfirmed accounts or accounts that have been inactive for a substantial period. Additionally, we reserve the right to refuse, modify, or terminate all or part of our services to anyone for any reason at our discretion.
Limitation of Liability

Each User hereby agrees to indemnify and hold The Procudex.store, our affiliates, directors, officers and employees harmless from any and all losses, claims, liabilities (including legal costs on a full indemnity basis) which may arise from such User’s access to or use of the Sites or Services (including but not limited to the submission, posting or display of such User’s information and User Content on the Sites, THE COMPANY Channels or Third Party Channels under Promotion Services) or from your breach of any of the representations, warranties hereunder and the terms and conditions of the Terms. Each User hereby further agrees to indemnify and save The Procudex.store, our affiliates, directors, officers and employees harmless, from any and all losses, damages, claims, liabilities (including legal costs on a full indemnity basis) which may arise, directly or indirectly, as a result of any claims asserted by Third Party Rights claimants or other third parties relating to the User Content, information and/or products offered or displayed on the Sites. Each User hereby further agrees that The Procudex.store is not responsible and shall have no liability to you, for any material posted by others, including defamatory, offensive, or illicit material and that the risk of damages from such material rests entirely with each User. The Procudex.store reserves the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with The Procudex.store in asserting any available defences.
The Procudex.store shall not be liable for any special, direct, indirect, punitive, incidental, or consequential damages or any damages whatsoever (including but not limited to damages for loss of profits or savings, business interruption, loss of information), whether in contract, negligence, tort, equity or otherwise or any other damages resulting from any of the following:

Any defect in goods, samples, data, information, or services purchased or obtained from a User or any other third party through the Sites or Services.
Violation of Third Party Rights or claims or demands that User’s manufacture, importation, exportation, distribution, offer, display, purchase, sale and/or use of products or services offered or displayed on the Sites or through the Services may violate or may be asserted to violate Third Party Rights; or claims by any party that they are entitled to defence or indemnification in relation to assertions of rights, demands, or claims by Third Party Rights claimants.

Any matters relating to the Sites or Services, however arising, including negligence.
GENERAL PROVISIONS:
JURISDICTION, VENUE & CHOICE OF LAW: The terms herein will be governed by and construed in accordance with the laws of the United Kingdom without giving effect to any principles of conflicts of law. The Courts of the United Kingdom shall have exclusive jurisdiction over any dispute arising from the use of the Website.
ASSIGNMENT: This Agreement, or the rights granted hereunder, may not be assigned, sold, leased, or otherwise transferred in whole or part by you. Should this Agreement, or the rights granted hereunder, be assigned, sold, leased, or otherwise transferred by us, the rights and liabilities of The Procudex.store will bind and inure to any assignees, administrators, successors, and executors.
HEADINGS FOR CONVENIENCE ONLY: Headings of parts and sub-parts under this Agreement are for convenience and organization only. Headings shall not affect the meaning of any provisions of this Agreement.
FORCE MAJEURE: We are not liable for any failure to perform due to causes beyond its reasonable control, including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances, i.e., COVID-19!
ELECTRONIC COMMUNICATIONS PERMITTED: Electronic communications are permitted to both Parties under this Agreement, including email. For any questions or concerns, please email us.
